Essential Duties & Responsibilities:
LAUNCH is looking for a General Counsel to join its Executive Leadership Team. We are seeking an individual with extensive legal experience, particularly in a private business setting within the aviation industry. The General Counsel will be responsible for safeguarding the interests of our customers, shareholders, and employees, while also advancing LAUNCH’s mission and objectives. The ideal candidate is a collaborative team player with strong problem-solving, analytical, and communication abilities, capable of managing multiple issues and priorities in a dynamic environment.
- Provide expert legal advice and counsel to the Group President, Leadership Team, and Board of Directors on a wide range of legal and business matters.
- Partner with the Chief Human Resources Officer to develop and implement legal strategies, policies, and procedures to ensure compliance with applicable laws, regulations, and industry standards.
- Draft, review, and support negotiations on complex contracts, agreements, and legal documents to protect the company’s interests and minimize risk while balancing commercial growth objectives for the company.
- Represent the organization in legal proceedings, including litigation, arbitration, regulatory investigations, and alternative resolution, including settlement.
- Collaborate with cross-functional teams to identify and address potential legal issues proactively.
- Monitor and analyze changes in relevant laws, regulations, and legal precedents to assess their impact on the organization. Provide legal guidance and support during mergers, acquisitions, and other corporate transactions.
- Partner with the Chief Human Resources team on internal documents, including severance agreements, employment agreements, and other relevant documents.
- Ensure the implementation and maintenance of effective corporate governance practices and ethical standards.
- Staying up-to-date with legal trends, best practices, and industry developments to ensure the organization remains abreast of emerging trends and remains compliant and competitive.
- Develop a comprehensive budget that encompasses all aspects; manage the budget to ensure legal operation and cost-effectiveness, including outside counsel, in alignment with the company’s overall financial goals.
- Responsible for overseeing all SCA/regulatory compliance requirements.
- Serve as subject matter expert in Secret Clearance, responsible for annual training, client and vendor contract compliance, managing the Facility Security Officer (FSO), and policy updates and documentation.
- Act as the accountable manager overseeing licensing, inspecting, purchasing, repairing, and insurance for company vehicles and transportation.
- Partner with the CFO to oversee all company insurance programs (general liability, employment practices liability, etc.), including but not limited to broker selection, management, and administration, and renewal.
- Perform other duties as assigned by the Group President and Board of Directors
Core Traits & Competencies
- Strong legal knowledge and analytical skills in an aviation environment
- Juris Doctor (J.D.) degree from an accredited law school
- 2-5+ years of relative experience
- Extensive experience in corporate law, with at least five years in a senior leadership role
- Active bar license in the relevant jurisdiction
- Experience in the Aviation industry is preferred
- Experience with M&A transactions preferred
- Extensive experience reviewing and negotiating contracts preferred
- Private Equity experience preferred.
