    GENIUS FUND, a private equity fund focused on complete vertical integration in breakthrough industries, is seeking a competent CORPORATE TRANSACTIONAL ATTORNEY to work in our legal department assisting with contracts, business transactions, risk management, mergers/acquisitions and general company matters. The right Corporate Transactional Attorney will be organized, analytical, and excited to work in a fast-paced environment.

    DUTIES AND RESPONSIBILITIES OF THE CORPORATE TRANSACTIONAL ATTORNEY INCLUDE:

    • Drafting and review of the principal asset transaction agreements, including crafting appropriate representations, warranties, covenants, and disclosure schedules in light of issues identified during due diligence and conditions to closing
    • Drafting and negotiating ancillary documents, including any legal opinion, assignment and assumption agreement, escrow agreement, management agreement, or transition services agreement
    • Conducting or facilitating legal due diligence (i.e., the review of contracts, permits, organizational documents, and other materials relating to the target company, the subject assets or, occasionally, the buyer, to develop an understanding of the scope, value, and risks of the transaction)
    • Drafting due diligence memorandums or other summaries of due diligence findings, including drafting of executive summaries/issues lists
    • Liaising with internal and external counsel and integrating their comments into relevant transaction documents
    • Reviewing and drafting corporate resolutions in connection with transactions

    SKILLS AND QUALIFICATIONS OF THE CORPORATE TRANSACTIONAL ATTORNEY INCLUDE:

    • At least 3-5 years' experience as a corporate transactional, M&A attorney preferred
    • Excellent communication and drafting skills are essential
    • An organized work-style with the ability to meet deadlines
    • Strong negotiation and attention to detail
    • Tech-savvy
