    We are looking for a Corporate Paralegal with substantial experience in the areas of entity formation and governance, transactional work, contract drafting, nonprofit counsel, employment law, and overall outside general counsel. Responsibilities: • Assist lawyer in preparing legal documents and correspondence, such as engagement letters, entity organizational documents, contracts, and client communications • Conduct intake interviews with clients to gather information about their legal issues • Assist and manage XBE certification process for clients • Oversee registered agent appointments and Secretary of State compliance filings for clients and manage ongoing company compliance system • Maintain corporate minute books for clients; complete initial drafts of corporate resolutions and minutes under the supervision of lawyer • Draft and analyze standard contracts (e.g., confidentiality agreements, purchase agreements, sales agreements, and services agreements) under the supervision of lawyer • Maintain virtual data rooms to upload and organize documents for client Mergers & Acquisitions • Perform administrative duties, such as answering phone calls, filing, mail management, maintaining client management system, and general office organization Qualifications: Candidates should possess high-level organizational skills, and time-management skills 3+ years of legal service experience under an attorney or lawyer in a law firm setting Must have strong interpersonal skills and talent for writing and grammar Candidates who have completed a paralegal professional certification or have advanced paralegal education will receive preference • Experience billing your time • Proficiency in Microsoft Office Suite – Word, Excel, PowerPoint Compensation: $30 per hour
