Hopkins Centrich is a growing business law firm in The Woodlands, Texas specializing in the litigation, governance and transactional issues facing business owners in closely held companies. Hopkins Centrich’s legal representation encompasses all legal aspects a business may need: business transactions; commercial litigation and dispute resolution in state and federal courts, as well as before arbitration panels; contract drafting and review; and litigation and transactional counsel related to the governance of closely held, non-publicly traded business interests. Additionally, we cater to the personal aspect of owning a business with departments dedicated to Family Law, Estate & Tax Planning, and Probate issues which may affect a business owner.
The ideal associate will have a diverse business background with some exposure to basic business and governance issues, as well as relevant legal experience in either transactional work or business litigation. Candidates are not necessarily expected to have experience in both but should be excited to learn and participate in each.
Beyond substantive experience, an ideal candidate should be a self-starter and be able to communicate effectively with clients and colleagues. Attention to detail is a must and excellent oral and written communication skills are essential.
ASSOCIATE RESPONSIBILITIES:
- Maintaining and protecting privileged information and client confidentiality.
- Researching case law using online and hard copy sources.
- Collaborating with and reporting to lead attorneys, associates, paralegals, and staff.
- Tracking billable hours contemporaneously on every assignment.
- Billing 1500 hours per year.
- Communicating clearly with clients and providing timely updates to lead counsel.
- Multitasking on and maintaining multiple cases at once.
- Negotiating with opposing counsel on behalf of clients.
- Appropriately representing the firm at networking events.
- Negotiate legal clauses with client when needed.
TRANSACTIONAL ASSOCIATE RESPONSIBILITIES:
- Drafting, reviewing, and negotiating various agreements, such as Governing documents, commercial contracts, service agreements, corporate resolutions, certificates, confidentiality agreements, assignment agreements, termination agreements, purchase and sale agreements, shareholders agreements, capital contribution agreements, and asset purchase agreements.
- Drafting agreements to ensure that the contract terms and conditions are in compliance with corporate requirements as well as the law.
LITIGATION ASSOCIATE RESPONSIBILITIES:
- Drafting pleadings, motions, briefs, and memos, as required.
- Drafting discovery and responses.
- Appearing in court in-person and via Zoom.
- Participating in depositions of witnesses.

APPLICANT REQUIREMENTS:
- Law degree from an ABA accredited law school.
- An attorney in good standing with the State Bar of Texas.
- 1-3 years of experience working as an attorney.
- In-office work attendance.
