    INVESTMENT MANAGEMENT ASSOCIATE ATTORNEY

    COMPENSATION

    Base: $260,000--$435,000 (commensurate with experience and office location)

    Total Compensation: Base + discretionary annual bonus (based on hours and performance) + comprehensive benefits + 401(k)

    This is a Chambers-recognized registered funds practice at a large national firm with a genuinely differentiated deal mix — the group routinely handles structurally novel, first-of-kind transactions: first-ever hybrid fund structures, closed-end fund IPOs, and dual share class structures. That's not standard compliance work. All associates are staffed across all group partners, meaning broad exposure with no single-partner dependency and no siloed track. The 1,900-hour billing target credits 50–100 pro bono hours toward the total. Comp tops out at $435,000 at the senior end — market-competitive for this practice — with a discretionary performance bonus on top. Four office options across major financial centers.

    ABOUT THE ROLE

    A plug-and-play registered funds role — registered fund experience is required; private-funds-only backgrounds won't qualify. You'll advise mutual funds, ETFs, BDCs, tender offer funds, interval funds, and their advisers on formation, regulatory compliance, corporate governance, and novel structuring, working across all partners in the group.

    REQUIREMENTS

    Experience: 3–7 years in registered investment company / registered funds law

    \- Substantive hands-on experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940

    \- Experience drafting registration statements, offering documents, board materials, and investment management agreements

    \- Track record advising registered funds (mutual funds, ETFs, BDCs, tender offer funds, interval funds) and their advisers

    \- Private-funds-only backgrounds do not qualify

    Preferred:

    \- Depth in ETF structures

    \- Corporate governance experience for funds and fund boards

    \- Public/private BDC work

    Tech Stack: Westlaw, LexisNexis, EDGAR, Microsoft Office Suite, iManage

    Bar Admission: Active admission in (or eligibility to waive into) the state of chosen office
