Junior Corporate/Securities Associate Attorney – Investment Funds

Direct Counsel is seeking a Junior Corporate/Securities Associate to join a prestigious Am Law 100 firm’s Investment Funds group, with a focus on public REIT capital markets. This position is based in the firm’s Raleigh office. The ideal candidate will have experience in equity and capital markets transactions and/or advising public companies on disclosure, corporate governance, and securities law matters. Specific experience in the REIT industry is preferred.

Key Responsibilities:

• Advise clients on corporate and securities law matters, including SEC reporting and compliance.

• Assist with public and private capital markets transactions.

• Draft and review disclosure documents, agreements, and other corporate governance materials.

• Work closely with clients on regulatory and compliance matters.

• Support senior attorneys in all aspects of corporate and securities transactions.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.

• Licensed to practice in North Carolina or eligible for prompt admission.

• 1-2 years of experience in corporate and securities law, preferably in a large law firm setting.

• Strong academic background and immediately transferable skills.
