    We are seeking a dynamic and experienced Legal Counsel to lead our client's growing legal team. This role will play a pivotal part in supporting our client's business operations, ensuring compliance with complex regulatory frameworks in the health and nutrition sector, and mitigating risks across their supply chain and commercial activities. The ideal candidate is a proactive problem-solver with a passion for the food and beverage industry, ready to contribute to their mission of delivering cutting-edge ingredient solutions.

    Key Responsibilities

    • Provide legal advice and support on a wide range of matters, including contracts, intellectual property, regulatory compliance (e.g., FDA, FTC, and international standards), and corporate governance.
    • Draft, review, and negotiate commercial agreements, including supplier contracts, distribution agreements, NDAs, and partnership deals.
    • Advise on product labeling, claims substantiation, and advertising to ensure adherence to industry regulations and best practices.
    • Conduct risk assessments for new product launches, market expansions, and supply chain initiatives.
    • Collaborate with cross-functional teams (e.g., sales, R&D, quality assurance) to support business development and strategic initiatives.
    • Manage litigation, disputes, and investigations as needed, coordinating with external counsel.
    • Stay abreast of emerging legal trends in the nutrition and functional ingredients space, providing proactive guidance to leadership.
    • Assist in corporate matters, such as board meetings, equity issuances, and M&A due diligence.

    Qualifications

    • Education: J.D. from an accredited law school; active license to practice law in California. Knowledge of international law a plus.
    • Experience: 5+ years of relevant legal experience, preferably in-house at a supplement/ nutraceutical company, or in a law firm with a focus on the nutraceutical industry.
    • Skills:
      • Strong knowledge of FDA regulations, dietary supplement laws (e.g., DSHEA), and international trade compliance.
      • Litigation experience a plus
      • Excellent drafting and negotiation skills with a business-oriented mindset.
      • Ability to thrive in a fast-paced, collaborative environment.
      • Proficiency in Microsoft Office Suite; experience with contract management software (e.g., DocuSign) is a plus.
    • Attributes: Detail-oriented, ethical, and adaptable, with exceptional communication skills to interact with all levels of the organization.

    Compensation: Base $300k plus performance-based bonuses.
