Job Description
Scope of Work:
The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.
Deliverables and Services:
Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.
Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows
Provides legal oversight on integration activities, including commercial terms and operational harmonization
Negotiates with existing, new and renewing customers.
Has a deep understanding of the technology space and is able to close deals with limited supervision.
Drafts and reviews legal correspondence, memoranda, and opinions as needed
Advises and collaborates with Finance, Tax and Mergers and Acquisitions team on legal matters arising from corporate transactions
Manages and oversees due diligence documentation and closing records for acquisitions
Oversees maintenance and accuracy of corporate record books and entity management systems
Establishes and maintains legal filing systems and document retention protocols
Performs other legal projects or duties as assigned, including cross-functional matters involving finance and accounting
Qualifications
Qualifications and Skills
Must be highly detail-oriented with the ability to independently analyze and draft complex legal documents
Highly organized with the ability to manage multiple concurrent matters
Strong prioritization skills
Self-motivated with the ability to exercise independent legal judgment
Ability to multi-task effectively in a fast-paced environment
Excellent written and verbal communication skills, including the ability to present legal analysis to senior leadership
Ability to properly handle confidential information and records
Willing to perform all levels of work
Proficient in Microsoft Office (Word, Excel & Outlook)
Experience in a corporate legal department or law firm corporate practice required
Experience with corporate governance and entity management required
Education/Experience:
Juris Doctor (J.D.) from an ABA-accredited law school
Active bar admission in at least one U.S. jurisdiction
3 or more years of relevant legal experience in corporate law, M&A, or governance
