    LEGAL SUMMARY

    Working collaboratively with General Counsel NA and with corporate legal department oversees on a broad range of subjects included but not limited to contracts, government regulations, litigation management, HR support, intellectual property, audits, and insurance contracts aligned with company, policies and procedures.

    The Legal Counsel will be responsible for the preparation, and negotiation of various contracts and subcontracts. He/she will work on complex problems where analysis of risks and facts require an in-depth evaluation of various factors. He/she will have to exercise reasonable judgment within broadly defined practices and policies.

     RESPONSIBILITIES 

    Responsibilities may include, but are not limited to:

    • Draft, review, and negotiate a variety of agreements encountered in all aspects of the company's business (e.g., supply agreements with vendors and customers, equipment lease agreements, service agreements, standard terms and conditions of sale and purchase, nondisclosure agreements, IP licenses, etc.).
    • Provide analysis, guidance, and advice with respect to contract interpretation, enforcement, risk assessment and compliance.
    • Provide legal support to the various departments including the business segments, research & development, information technology, purchasing, quality, environmental, finance and human resources departments on a variety of matters.
    • Work with other in-house counsels and outside counsel, as required.
    • Support and advice on litigation matters.
    • Review business practices and policies in connection with contractual matters and provide analysis, guidance and advice to management, other personnel and business segments.
    • Provide analysis, guidance and advice on corporate governance policies and corporate resolutions.
    • Provide analysis, guidance and advice on federal, state and local compliance and regulations.
    • Provide support to optimize the insurance coverage (i.e. all risks, workers compensation, commercial liability, etc.) Follow the company activity developments to have the proper policies in place.
    • Draft and review the legal procedures (such as export procedures  and contract templates (such as NDA, LTA, and others)
    • Act as the Company Secretary by maintaining company records such as incorporating documentation, resolutions and other corporate documents.
    • Provide training to employees on legal subjects such as contract negotiations, updates on new laws and regulations, and others.
    • Perform other related duties as required.

     

     REQUIRED QUALIFICATIONS AND SKILL

    • Juris Doctor (J.D.) from an ABA accredited law school.

    • Licensed to practice law in the state of California is preferred. However, an in-depth knowledge of California laws is required.

    • Bachelor in Business Administration or equivalent degree highly preferred.

    • Three (3) to five (5) years experience as an attorney in commercial and HR laws.   

    • Ability to work independently, proactively and efficiently, as well as to collaborate and communicate effectively with management, other personnel and business segments, in a fast moving environment to provide accurate, effective and thorough legal advice.

    • Ability to translate technical legal analysis into sound business advice.

    • Excellent analytical, organizational and verbal and written communication skills.

    • The responsibilities of the position include compliance with company and governmental safety, environmental and hazardous materials regulations and procedures. Employee will be required to wear PPE in specified areas. Base salary range: 80-90k
