Position: M&A / Private Equity Associate Attorney
Location Options: New York, NY or Washington, D.C.
Experience Level: 3–6 years (JD Class Years 2017–2020)
Practice Area: Mergers & Acquisitions / Private Equity

A highly regarded law firm is seeking mid-level Associates to join its M &A and Private Equity practice in either its New York or Washington, D.C. office. This team represents private equity sponsors, portfolio companies, and strategic buyers and sellers in a broad range of transactions across industries.

Key Responsibilities:

• Lead or support complex M &A transactions, including buyouts, minority investments, joint ventures, and divestitures

• Represent private equity sponsors and their portfolio companies through all stages of a deal, from letter of intent through closing

• Draft and negotiate a range of transactional documents, including:

  • Purchase and merger agreements

  • Equity investment documents

  • Shareholder and operating agreements

• Manage legal due diligence and coordinate with specialist teams (e.g., tax, finance, employment, IP)

• Interact directly with clients, counterparties, and opposing counsel to drive transactions forward

• Assist in the oversight and mentoring of junior associates and legal staff as needed

Candidate Qualifications:

• JD from an accredited law school

• Admission to practice in New York or D.C.

• 3–6 years of experience handling M&A and/or private equity transactions at a peer firm

• Familiarity with deal structuring, drafting key agreements, and managing deal processes

• Excellent communication and client-management skills

• Strong academic credentials and attention to detail
