Position Overview:
We are seeking an Offering Operations Associate ready to work on the cutting edge. **** Our Offering Operations Associate brings a legal, paralegal, finance, and/or operations skill-set to help our Operations team in handling securities offering documentation, SEC reporting and oversight, formation, and maintenance of our investment vehicles. This is a role that requires intensive skills in document and database management–you will be using best-in-class tools for both. The role will also assist with a variety of legal and compliance needs.
Our offering operations are document-intensive and have significant scope for workflow automation. Our Offering Operations Associate is obsessively process-minding with an extreme attentiveness to detail with an adeptness to leverage technology to create processes and drive efficiency.
Responsibilities:
Our Offering Operations Associate supports our Offering Operations Team to:
- Compile and file all SEC securities documentation–offerings and on-going
- Manage Delaware and Cayman entity formation, maintenance, and liquidation
- Delaware formation certificates, EINs, EDGAR codes, bank account opening
- Compliance with all federal and state reporting requirements (i.e. SEC filings, Blue Sky laws, etc.)
- Resolutions and corporate governance records
- Maintain mission-critical databases containing all Investment Entity information
Requirements or Skill Sets:
- Degree or background in law, finance, economics, accounting, or a related discipline.
- A minimum of 1+ years experience in a legal (paralegal or legal assistant), finance or finance operations role preferred
- You have strong database management skills (Airtable, G-Suite, etc)
- You know your way around Excel and Google Sheets
- You can't stand doing things the old fashioned way–you need to figure out more efficient ways to do things
- You are deeply family with SEC filings and/or execution of securities transactions (private placements, IPOs, follow-ons, PIPEs, etc)
- You are fanatically systems- and process-oriented, meticulous attention to detail
- You are highly organized and love managing multiple things at once
- You are energized by a high-growth, fast-paced environment
- You are ready to grow skill sets and responsibilities with the organization
- You have heard of automation tools a plus (Zapier, Alteryx, Coupler)
Measurements of Success in the First 90 Days:
- Scale our newly implemented Series filing operations to enable the growth objectives of the overall business.
- Implement an automated document generation system for ongoing SEC reporting
- Assess and implement workflow processes for all duties outlined above
- Proven ability to navigate and maintain databases accurately
- Support the Finance and Operations team in automating ongoing financial reporting requirements
Additional Requirements:
- In-office position in NYC
- Must be eligible to work in the US - no exceptions.
How does Masterworks think about compensation?
The compensation range for the role is $75-90k. The advertised pay scale is not a promise of a particular wage for any specific employee. Our ranges tend to be broad to accommodate all types of candidates and encourage growth. Specific compensation offered to a candidate may be dependent on factors such as education, experience, qualifications, and alignment with market data. Exceptional candidates may receive salaries outside of the posted ranges.
