  • Responsibilities

    General Summary:

    This role will support the business full life cycle of contract development and administration beginning with initial review/discussions and draft terms through final execution, management, and closure. This individual will have had paralegal work in their background.

    Essential work Skills/Knowledge & Abilities:

    • Composes formation documents for entity creation (See PA/IOM/Anesthesia Company Formation Procedure below).
    • Ensures the entity formation process is followed from start to finish by consistently coordinating with physicians, governmental entities, internal staff, and other bureaucracies as needed.
    • Acts as interface and point of contact for the formation process of legal entities, and updates administrators, managers, and internal staff on the status of the formation process for each entity.
    • Prepares and disseminates information regarding the entity formation process to administrators, managers, and internal staff.
    • Performs research regarding the type of entity to be used in the formation process.
    • Transcribes meeting minutes whenever necessary, and composes the meeting minutes using the utmost accuracy, grammar, and thoroughness. Disseminates meeting minutes to requisite recipients.
    • Updates company database regarding any status updates with any entity.
    • Periodically checks emails throughout the day and responds in a timely manner to any necessary requests.
    • Interacts with physicians periodically to obtain necessary information for entity formation.
    • Initiates and UPS/Regus addresses when necessary.
    • Dissolving companies when necessary.
    • Attends company meetings throughout the week, discussing any issues with company formations, and/or taking meeting minutes at these meetings.
    • Special Projects and other duties as assigned.

    Skills and Abilities:

    Able to perform all essential duties with or without accommodations, including but not limited to:

    • Demonstrated analytical ability and familiarity with terms of contracts, statements of work and other legal documents.
    • A high degree of flexibility and adaptability to a fast-changing environment.
    • Articulate communicator with excellent written and verbal skills.
    • Demonstrated negotiation skills, and experience dealing with external and internal clients.
    • Attention to detail, strong organizational skills and ability to work independently.
    • Requires a good understanding of business and financial issues and above-average math and computer skills.

    Experience and Training:

    • US Senate Bill Arbitration experience highly preferred
    • Proven track record as a successful Paralegal
    • Strong business acumen capable of translating complex technical and operational requirements into a clear boardroom context.
    • National experience preferred.
    • Experience in a legal work environment where sensitivity to confidentiality and critical documentation is proven.
    • Knowledge and understanding of contractual, technical and regulatory aspects of the medical industry preferred.
    • Able to read and understand contract terminology, product and service offerings and pricing terms associated with medical products and services acquisition
