We’re looking for an experienced Deputy General Counsel – Commercial to join our team. Reporting directly to the General Counsel, the DGC interacts with and supports various leaders across the company. The role can be based in either Houston, Texas or Durham, North Carolina.
This role primarily focuses on drafting and negotiating complicated, multi-party domestic and international contracts for the oil and gas sector, such as front-end engineering design (FEED) agreements, long-term maintenance and service agreements, EPC agreements, letters of credit, surety bonds, and buy and sale agreements for equipment and services. The role provides project management teams and senior company leaders with contract interpretation, dispute resolution, and claims management once an award has been made. Partner with senior company executives to ensure the Company has the permits required to execute contracts, accept bids, and perform work.
Essential Duties
- Provide day-to-day legal support to the company and build relationships with business partners by providing timely, concise, and commercially focused legal advice
- Review, draft, negotiate and interpret a wide range of commercial agreements, including joint venture/partnership/LLC/shareholder agreements, licensing, and IP (Intellectual Property) agreements, investment agreements, services agreements, transportation agreements, supply agreements, consulting agreements, intercompany agreements, confidentiality agreements, letters of intent, and term sheets
- Lead and manage complex transactions, including acquisitions, divestitures, joint ventures, and partnership arrangements
- Advise on start-up and joint venture formation and debt and equity financings
- Counsel business on all aspects of intellectual property, such as patent and IP protection and enforcement, IP aspects of new ventures, etc.
- Identify and counsel management about potential risks, claims and disputes potentially arising from commercial contracts and transactions and propose practical and pragmatic solutions
- Manage outside legal counsel in connection with transactional, compliance and regulatory matters
- Coordinate across various departments as necessary in connection with potential transactions
- Address general corporate and day-to-day business legal issues.
Education and Experience
- J.D. degree with strong academic credentials from an accredited law school
- B.S. in Engineering, IT (Information Technology) or relevant coursework or work experience in a related field helpful
- Must be a member in good standing of N.C. or other State Bar
- 8-10 years of in-house corporate law experience; public company experience preferred
- Practical and business-minded with an ability to present a business partner with real-world, pragmatic advice is essential
- Experience working with high-growth and/or technology companies with licensing and IP experience preferred
