    Nelson Partners seeks In-house Counsel to perform various legal and management duties including investment due diligence, real estate management and litigation, compliance monitoring, and general operation management.

    In order to effectively maintain the company’s legal standing, our General Counsel must fulfill a wide variety of duties and responsibilities that touch every department. The primary duty is to maintain legal compliance, but that involves many things. The core competencies of a General Counsel include:

    Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business

    Overseeing the legal matters of the business as a whole, including acting as the business' legal representative

    An exceptional familiarity and prowess with real estate or property law

    Maintaining knowledge of the company's legal documents and operations

    Crafting and reviewing legal strategy in response to any litigation

    Keeping a record of all legal documents and proceedings for the company

    Facilitating filings of licensing forms and other statutory requirements

    Communicating with outside counsel

    Legally filing for copyright of intellectual property

    Responsibilities include:

    Structuring, drafting and negotiating agreements and commercial contracts

    Drafting service agreements, non-disclosure agreements, procurement agreements

    Engaging in tenant issues including but not limited to personally filing UD and pursuing collections

    Managing real estate transactions including leases; land use, zoning, and construction

    Drafting and reviewing contracts and purchase forms related to investments

    Engaging in business and legal negotiations related to investments and dispositions.

    Performing due diligence in a variety of investments

    The candidate must:

    Demonstrate leadership and team-working skills in support of a collaborative environment, including the ability to proactively seek opportunities to create systems in the workspace.

    Exercise discretion and maintain a high degree of confidentiality

    Should have experience in land use, real estate, civil, tax construction, and business litigation

    Knowledge and experience in real estate transactional matters are essential

    High sense of urgency with the ability to meet deadlines while maintaining the flexibility to adapt to changing priorities

    Qualifications:

    Must have solid experience in the practice of real estate and disposition, business, and litigation (10 + years preferred but not required)

    Good standing and active member of the California Bar and have a JD from a top 50 law school

    Ability to work well under various work schedules

    Outstanding interpersonal, written and verbal communication skills

    Strong skills required in legal research

    Compensation:

    Compensation based on experience and candidate’s qualifications; including performance-based bonus
