    Legal Associate

    Our client, a prominent hedge fund based in Midtown, is seeking a Legal Associate / Corporate Paralegal to support their Legal department. Day-to-day, you will be responsible for supporting the firm across all legal functions, with the potential to make an impact quickly. You are someone who enjoys autonomy and organization, while working in a collaborative and fast-paced environment.

    Responsibilities

    • Update fund offering documents (e.g., private placement memorandums, subscription agreements) and draft other fund-related documentation (e.g., operating agreements, investment management agreements, assignment agreements, resolutions)
    • Prepare regulatory filings, including Section 13 and Section 16 filings
    • Review and negotiate non-disclosure agreements
    • Review and negotiate vendor contracts
    • Draft amendments to various agreements
    • Maintain various internal summaries (e.g. side letters, ISDAs, repos)
    • Help review, prepare and manage ISDA, prime brokerage and other counterparty and transactional documentation
    • Organize and accurately maintain physical and electronic documents and files
    • Assist with signature execution and processing of agreements and other documentation
    • Frequent interaction with colleagues in the operations, accounting, and investor relations departments
    • Take ownership of and track projects through entire life cycle

    Qualifications/Skills Required

    • Undergraduate college degree (BA/BS)
    • 2+ years of paralegal experience in a law firm or corporate legal department
    • Excellent written and verbal communication skills
    • Proven ability to contribute in a fast-paced environment with the ability to prioritize tasks and handle time efficiently
    • Proactive, detail-oriented problem solver with a desire to contribute to the firm's reputation and success
    • Proficient to advanced computer skills including MS Outlook, Word Excel and PowerPoint
    • Good teammate with a strong willingness to participate and help others
    • Open to working a current hybrid schedule of 3 days per week in the office and more in the future
