    We are currently looking for an Associate Attorney to join our clients Corporate Law team focused on their Mergers & Acquisitions. 

    What are the core responsibilities?

    • Conducting due diligence: Before any M&A transaction takes place, the corporate attorney is responsible for conducting a thorough investigation of the target company. This includes reviewing financial statements, contracts, intellectual property, regulatory compliance, and other relevant information.
    • Drafting and negotiating transaction documents: The corporate attorney is responsible for drafting and negotiating a variety of transaction documents, including letters of intent, purchase agreements, stock purchase agreements, asset purchase agreements, and ancillary agreements.
    • Providing legal advice and counsel: Throughout the M&A process, the corporate attorney provides legal advice and counsel to their client. This can include identifying potential legal issues, evaluating risk, and developing strategies to address any concerns.
    • Coordinating with other professionals: In addition to working with the client, the corporate attorney may need to coordinate with other professionals, such as investment bankers, accountants, and tax advisors, to ensure that the transaction is structured in the most advantageous manner possible.
    • Closing the transaction: The corporate attorney is responsible for helping their client to complete the transaction and to ensure that all necessary filings and registrations are completed.
    • Post-transaction integration: Following the completion of the transaction, the corporate attorney may also be involved in post-transaction integration, including helping the client to integrate the acquired business into their existing operations.

    What are the minimum requirements?

    • 3-8 years of experience from a top tier firm.
    • 2+ years specifically focused on M&A
    • Willing to invest 1,800 billable matters, 75 hours of pro bono/public service work (or 50 hours of pro bono legal work), including at least 25 hours dedicated to diversity, equity, and inclusion.
