About our client: Our client is a boutique private practice law firm that provides efficient and cost effective business strategies and proactive solutions to sophisticated individuals and small to medium sized businesses. In particular, they assist select clients with their investment and business needs including corporate law and governance, business transactions, financial transactions, mergers & acquisitions, entity formations, partnership agreements, contracts, real estate, commercial law, and nonprofits.

They are a 5 person law firm looking to grow. Their team culture is made up of ex Waller, Bradley, and Bass Attorneys that wanted different work/life balances. They're a family-oriented firm that take on highly profitable small to mid size deals to have a balanced life outside of their practice. They make the joke that they're a team of "Recovering Attorneys."

About the position: We are actively looking for a Corporate Attorney focused on M&A. The ideal candidate has experience helping run $1M to $12M acquisitions.

What are the core requirements?

• Strong M&A experience, including drafting, reviewing and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related agreements. Experience with private equity transactions is a plus.
• Experience with partnership agreements, joint ventures and limited liability company operating agreements.
• Substantial responsibility for closing M&A and related transactions.
• Conducting due diligence reviews.
• Advising clients on general corporate/entity matters and business matters.

What will earn you brownie points?

• Ability to learn new systems quickly, use online technology including Microsoft Office 365, Clio, Netdocuments, video conferencing, online project management tools and more.
• Commercial real estate experience is a plus, but not required.
• Securities law knowledge is a plus, but not required.
