Our Client is seeking an experienced Corporate/Startup Paralegal with additional experience in real estate transactional work. This is a remote , part-time opportunity for a highly skilled, detail-oriented paralegal who can step in on day one with minimal guidance.
About the Role
This paralegal will support transactional legal matters involving startup corporate work, securities filings, venture financing , and real estate transactions. The ideal candidate has law firm experience , is comfortable handling filings independently, and can manage changing priorities efficiently.
This is not an entry-level role; we are seeking a paralegal who can operate autonomously, provide ad-hoc support, and deliver high-quality work without training.
Key Responsibilities
- Manage entity formation , corporate governance, minute books, and compliance calendars for early-stage companies.
- Prepare and file state and federal securities filings (including Blue Sky filings).
- Handle Carta onboarding , cap table updates, option/equity documentation, and related compliance tasks.
- Assist with Series A/B and other venture financing transactions , including document preparation and closing checklists.
- Draft, review, and organize transactional documents , consents, and agreements.
- Support real estate transactional matters , including preparing closing documents, coordinating recordings, and managing due diligence checklists.
- Conduct research, compile information, and maintain organized work product across multiple matters.
- Provide reliable, responsive support on an as-needed basis , including quick-turnaround tasks.
Required Skills & Experience
- 3+ years of corporate/startup or securities paralegal experience (law firm background strongly preferred).
- Hands-on experience with:
- Startup corporate matters
- Venture financing (Seed, Series A/B)
- Securities filings
- Real estate transactional support
- Direct experience with Carta onboarding and cap table management.
- Ability to prepare and file corporate and securities documents independently with zero training.
- Strong proficiency with legal research, document drafting, and compliance management.
- Highly organized, proactive, and comfortable working in a fast-paced, remote environment.
- Strong communication skills and the ability to work directly with attorneys.
