A well-respected law firm is seeking an experienced Transactional Paralegal to support attorneys in its Corporate, Securities, Real Estate, and Finance practice groups. This hybrid opportunity is ideal for a detail-oriented professional who enjoys managing complex transactions from inception through closing.
Responsibilities:
- Prepare, revise, and file corporate and transactional documents, including entity formation and governance documents.
- Conduct UCC, due diligence, and corporate research; analyze and summarize findings.
- Manage closing checklists, transaction documentation, and post-closing deliverables, including closing binders.
- Coordinate entity formations, dissolutions, annual filings, and good standing certificates with state agencies and registered agents.
- Review due diligence materials and assist with transaction organization and execution.
- Work directly with attorneys and clients to coordinate closings and ensure deadlines are met.
- Handle multiple time-sensitive projects while maintaining a high level of accuracy and professionalism.
Qualifications:
- Associate's or Bachelor's degree, preferably in Paralegal Studies.
- 5+ years of transactional paralegal experience in a law firm setting.
- Experience supporting corporate, real estate, finance, or securities transactions.
- Strong organizational, communication, and project management skills.
- Proficiency with Microsoft Office and Adobe Acrobat.
- Ability to manage confidential information and thrive in a collaborative, fast-paced environment.
