    JOB SUMMARY:

    The Assistant General Counsel will assist the Corporate Secretary and the General Counsel in the performance of a wide variety of legal functions supporting the operations and corporate governance policies and practices of the parent corporate holding company and its affiliates. The Assistant General Counsel will regularly interact with and provide legal advice to the Boards of Directors of such companies and members of senior management.

    RESPONSIBILITIES:

    • State regulatory and Securities Exchange Commission (Securities Act of 1933 and Exchange Act of 1934) filings
    • Proxy preparation
    • Parent company and subsidiary board and committee meeting scheduling and attendance
    • Drafting of organizational documents and corporate minutes
    • Development and implementation of corporate governance policies
    • Ensuring compliance with applicable securities laws and stock exchange listing requirements
    • Assisting with administration of the parent company’s stock option program
    • Contract drafting and review
    • Helping to facilitate company debt offerings and merger/acquisition activity, as required
    • Development and dissemination of employee and independent contractor training materials on specified topics
    • Other assigned legal tasks

    Required Skills

    • Excellent communication skills and the ability to manage multiple priorities and deadlines efficiently
    • Must be a self-starter who can see projects through to completion
    • Candidates should have strong adaptable, interpersonal skills as well as the capacity to work independently
    • Must be detail-oriented with the capability to analyze complex information and draw logical conclusions
    • Proficient use of Microsoft products (i.e., Word, Excel, and Outlook) required
    • Must be willing and able to travel periodically

    Required Experience

    • 3+ years of relevant experience in a law firm or corporate environment desirable, but not required
    • Regulatory or securities law experience a plus
    • Active license to practice law in at least one state
    • Strong academic record from an accredited law school
    • Will likely be asked to provide a copy of law school transcript and/or writing sample
