    Title:  Director of Mergers & Acquisitions

    Location:  Chicago or San Diego

    Overview:  The Director of Mergers & Acquisitions (DMA) will be responsible for physical therapy acquisitions and strategic partnerships with health systems.  The DMA will drive sourcing activities, due diligence endeavors, negotiation of terms, legal and compliance aspects and achievement of financial returns.  The DMA will gather relevant information regarding the risks and opportunities for all potential M&A activities, providing comprehensive analysis and recommendations to senior leadership.  The DMA is additionally responsible for ensuring that internal M&A processes and standards are adhered.

    The DMA will play a deliberate role in leading, planning, and providing support for due diligence activities across all functional areas of any transaction inclusive of financial, facilities management, human resources, revenue cycle management, compliance, operations, information technology, contracting/credentialing, sales and marketing.  In this position, the DMA will compile due diligence integration plans and support coordinated efforts required by department in order to enable informed decision-making and execution. 

    The DMA will also play a diagnostic role where he/she will do the modeling and financial analysis of impending and on-going transactions.  The DMA will also refine, and complete market research and strategic fit analyses, including detailed target analysis and financial model lead creation using KPIs and other variables as sales drivers in order to estimate revenue and profitability of merger or acquisition over a multi-year project period.  In this position, the DMA is also tasked with leading the preparation of valuation models following the business’s M&A standards and performing key analyses inclusive of ROIC, accretion and dilution analyses, comparable company analysis, and discounted cash flow analyses. 

    The successful candidate will take a rigorous approach to establishing, monitoring, and driving stakeholder alignment around the target, including the reimbursement environment, competition, payor climate, clinician recruitment and expansion opportunities.  The DMA will work closely with the Chief Development Officer, operational leadership, finance, clinical and legal teams to optimize the development and execution of the defined growth strategy.  The DMA will present compelling business opportunities to the senior leadership team, including high frequency, smaller/medium size deals to transformative initiatives.  The successful candidate will proactively and regularly communicate progress on pipeline and strategy to the leadership team. 

    Key priorities and responsibilities: 

    • Execute the Company’s market specific strategies around physical therapy acquisitions and health system partnerships
    • Oversee all aspects of the M&A and strategic partnership process, including negotiation of terms, performance of due diligence, execution of approval process, management of legal documents, review of financial returns model, vetting of strategic direction and business cases, post-deal integration processes.
    • Establish strong relationships with the senior leadership team and the Company’s internal departments based on strong business development acumen, awareness of market and health care trends, knowledge of the company’s business, strategy, plans and performance
    • Work collaboratively with operations and clinical teams to identify acquisition, de novo, and strategic partnership opportunities and specific market-based strategies
    • Oversee ongoing communication with clinicians in targeted practices and overall management of the pipeline of potential acquisitions and strategic partnerships, including providing data and feedback as requested to the senior leadership team
    • Develop analytical metrics and reporting processes to keep the senior leadership team informed of the growth pipeline and closed transactions 

    Education & Experience:

    • A minimum of ten years of executive level leadership experience in a high-growth healthcare services environment. The candidate will have ideally held the title of Director of Mergers & Acquisitions, or similarly structured executive-level role
    • A bachelor’s degree in business administration or health care administration and a master’s level degree in business administration or finance is preferred
    • A proven M&A track record and impressive technical and professional credentials
    • Experience developing and executing a successful growth strategy spanning acquisitions and strategic partnerships ideally in outpatient healthcare or physician services environment
    • Experience in sourcing, negotiating, closing and integrating transactions
    • An analytical rigor and grounded discipline to the organization’s M&A function
    • Operational savvy; demonstrated success establishing fluid partnerships with clinicians and operating staff to lead post-deal integration
    • An exceptional track record of collaboration, both with operating leadership and clinicians, in the common pursuit of organizational objectives
