    Title:  EVP & General Counsel

    Location:  Dallas, Nashville, or Newport Beach, CA

    Overview:  The General Counsel will report to the CEO and provides advice, counsel, education and legal direction around M&A, joint-ventures, regulatory matters, compliance, vendor contracts and other healthcare legal matters.  The position will perform contract drafting and negotiation, and provide timely, effective, and practical guidance, and in a fast-paced in-house setting.

    Key priorities and responsibilities:

    • Researches a broad range of laws and regulations affecting the organization, including but not limited to federal and state laws and regulations affecting the business of physical therapy and medical providers
    • Provides advice regarding arrangements and transactions with owners and other individuals and organizations regarding clinical services, as well as substantive regulatory issues including tax-exempt organization requirements, and other state and federal healthcare regulatory requirements
    • Drafts, review and negotiate contracts related to leases, and 3rd party vendors
    • Analyzes and advise business owners of contractual terms and their implications; provide guidance on risks and alternatives for quick resolution of issues; identify and escalate issues asap to team members as appropriate
    • Coordinate all aspects, of review and oversight of legal matters related to DeNovo Development and M&A transactions
    • Involved with all joint-venture legal matters related to partners, health systems, payers, and other entities
    • Serves as a trusted advisor to internal clients and colleagues by providing timely and relevant guidance on matters of organizational risk and importance, producing clean and accurate legal documents, and maximizing opportunities to build relationships across the organization
    • Collaborates on transactional matters, particularly on vendor contracts ancillary to strategic transitions, joint ventures, and physician practice acquisitions
    • Advises clients about the impact of recent regulatory and legislative changes and guidance that impact on vendor contracting and other health care legal matters
    • Participates in executive team meetings and oversee the development of PRN policies and procedures related to vendor contracting and other health care legal matters
    • Support PRN in addressing compliance and risk management issues related to vendor contracting
    • Where outside counsel has been engaged by the General Counsel, work with outside counsel on issues requiring specialized legal consultation, being mindful of controlling legal fees, and serve as liaison between internal clients and outside counsel on referred legal matters
    • Maintains PRN values
    • Demonstrates regular, reliable and predictable attendance

    Education & Experience:

    • Minimum of 7 years of relevant healthcare legal experience
    • At least 3 years of in-house healthcare experience is strongly preferred
    • Law degree from an accredited US law school

    Knowledge, Skills & Abilities:

    • Demonstrated and specialized subject matter expertise in vendor contracting
    • Excellent contract drafting and editing skills
    • Well-developed communication skills to effectively work with all levels of management
    • Established ability to identify issues, analyze and prioritize legal, risk, and business factors, and explain them clearly to project managers and business owners
    • Ability to differentiate and triage critical risks and issues from less important ones
    • Ability to take initiative and exercise independent judgment, decision-making and problem-solving expertise
    • Proficiency with core computer programs (e.g., Microsoft Office, particularly Word and Outlook) required
    • Discretion and tact are important

    Travel Requirements 

    • Up to 25 % travel
