    RRD IS SEEKING AN EXPERIENCED CORPORATE PARALEGAL TO JOIN ITS CHICAGO-BASED LEGAL TEAM OF ROUGHLY THIRTY ATTORNEYS AND LEGAL PROFESSIONALS. ACTING AS THE SOLE CORPORATE PARALEGAL FOR THE LEGAL TEAM, THIS INDIVIDUAL WILL REPORT DIRECTLY TO THE ASSOCIATE GENERAL COUNSEL.

     

     

    RESPONSIBILITIES:

    • Lead and develop processes to support remote corporate secretarial processes, including subsidiary maintenance.
    • Act as administrator for and regularly update the online corporate database (hCue/CTAdvantage) shared by legal, tax, and treasury functions and ensure information is timely, complete, and accurate.
    • Prepare, process, and maintain statutory and regulatory filings and records to maintain existence and good standing for foreign & domestic legal entities. Maintain minute books and corporate records for the same.
    • Prepare Forms 3, 4, and 5, Form IDs, and track securities holdings of insiders.
    • Assist with mergers, acquisitions, financing, and other corporate transactions, including coordination of due diligence and data rooms, project management, and assisting with closings
    • Proactively collaborates with legal department and HR, finance, tax, and treasury functions.
    • Document intercompany transactions (international and domestic) such as capital contributions, distributions, share exchanges, reorganizations, and dividends.
    • Assist with materials for RRD Board and Committee meetings including preparing agendas, resolutions, meeting minutes, and written consents.
    • Assists with the ethics and compliance program.
    • Lead or assist the legal team's efforts in the preparation, implementation, and refinement of forms, processes, and procedures.
    • Perform other miscellaneous assignments or duties as needed, such as assisting with administrative tasks, special projects, and general corporate record housekeeping.

    • Flexibility and willingness to work extended hours from time to time (e.g., on weekends in advance of Board meetings or coordinating international activities)

    Required Experience

    • Bachelor’s Degree; paralegal certificate preferred.
    • SUCCESSFUL CANDIDATES WILL HAVE 6 OR MORE YEARS OF CORPORATE PARALEGAL EXPERIENCE GAINED IN BOTH LAW FIRM AND IN-HOUSE ENVIRONMENTS.
    • Proficiency with Diligent & hCue software, or equivalent software, strongly preferred.
