Corporate Counsel
Semaphore Tax & Business Solutions, Inc. (“STBS”) is seeking a transactional attorney with at least 7-10 years of contracts and corporate law experience (employment and labor law experience a plus). More seasoned attorneys are also encouraged to apply. This position would work closely with the CEO and senior management on a wide variety of transactional, employment and other corporate matters for the Semaphore companies and would require a well-organized and business-minded in-house counsel who enjoys negotiating and closing deals in a fast-paced environment. This position reports directly to the CEO but will also regularly interact and collaborate with our dedicated outside corporate counsel.
Semaphore is an industry-leading, full-service business management, influencer marketing, licensing and syndication company serving up and coming as well as some of the largest social media influencers in the world. It also serves a variety of businesses involved in the new media industry. STBS provides a full suite of tax and accounting services to its clients.

· Excellent educational credentials graduating from an accredited law school in the top third (33%) of your class. Law review or journal experience is highly preferred.
· Handling all complex agreement drafting and review (joint venture and acquisition agreements, real estate leasing and purchase agreements, general commercial agreements with various vendors, employment and contractor agreements).
· Conducting various regulatory review, including for labor and employment matters, privacy issues, FTC and other applicable industry compliance matters.
· Interfacing with the other managers from the Semaphore Family of Companies on client or employee management issues.
· An active bar membership or license to practice law in the U.S.
· Ability to work in a dynamic office environment (not a remote position) out of Semaphore’s Centennial, Colorado or Irvine, California offices.
· 7-10 years of post-JD business transactions, commercial contracts, technology transactions, entertainment, or corporate law experience in a law firm and/or in-house setting is required.
· Experience in new media or with talent agencies a plus.

Compensation: $145,000 to $165,000 annually
