As we continue to expand, we are seeking an experienced Senior Business Transaction Attorney to join our close-knit team. The ideal candidate is a self-motivated, highly skilled attorney with a strong background in corporate and transactional law and a passion for serving growing businesses. This is a senior-level position offering the opportunity to work directly with firm leadership, mentor junior attorneys, and take the lead on complex transactional matters. Responsibilities: • Lead and manage company transactions, including small-sized mergers and acquisitions, business partnerships, business structuring, and joint ventures. • Draft, review, and negotiate franchise disclosure document and franchise agreement. • Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, NDAs, operating agreements, and purchase and sale agreements. • Provide strategic legal counsel on governance, compliance, risk management, and growth planning. • Oversee legal due diligence and coordinate with internal and external stakeholders on transactional closings. • Advise clients in matters relating to real estate, commercial leases, and business operations. • Contribute to firm development by mentoring junior attorneys and supporting strategic initiatives. Qualifications: • Juris Doctor (JD) degree and admission to the bar in at least one U.S. state. Preferrable to the State of Texas. • Minimum of 5+ years of relevant legal experience in corporate and business transactions. (previous in-house counsel experience or small business experience preferred) • Demonstrated success negotiating and closing complex commercial and real estate deals. • Strong business acumen and ability to align legal strategy with client objectives. • Experience managing client relationships and supervising legal staff is highly preferred. • Ability to thrive in a fast-paced, entrepreneurial environment with shifting priorities. Compensation: $130,000 – $180,000
