    Position Title: Senior Corporate Paralegal

    The Opportunity:

    • Maintain corporate minute books, draft minutes and consents, update annual actions, manage share ledgers, and prepare share certificates.
    • Coordinate document imaging, manage corporate databases, file formation documents and amendments, order lien searches, and summarize results.
    • Assist attorneys in M&A transactions, manage due diligence lists, organize closing binders, conduct research via Lexis/Westlaw, and docket corporate deadlines.
    • Proofread and review documents, prepare PowerPoint presentations, organizational charts, timelines, and handle additional assigned tasks.

    Background Profile:

    • Strong attention to detail, organization, and communication skills; preferred (but not required) knowledge of corporate law, particularly Ohio Corporate Law; ability to interact professionally with clients and attorneys.
    • Commitment to excellence, ability to thrive in a fast-paced environment, multitask effectively, and meet deadlines under pressure.
    • Experience with Microsoft Suite, Adobe, and document management systems; ability to type 70+ WPM accurately.
    • Willingness to work overtime and occasional weekends; ability to lift at least 10 lbs and sit for extended periods.
    • A minimum of five years of experience in a paralegal position.
    • A degree at the associate's or bachelor's level is preferred.
