The Sonepar USA Regulated Transactions Office (“RTO”) is being created to allow our U.S. operating companies to efficiently and securely receive, review, process, execute, store, and transmit regulated transaction opportunities and data, predominantly in U.S. Federal Government, Utilities, and Department of Defense sectors.
The Director of RTO will have responsibility for developing, monitoring, facilitating, and executing Sonepar’s regulated transaction program and, together with Sonepar’s in-house Legal team, coordinating and overseeing the regulated transactions contract, certification, and data management processes to support Sonepar’s U.S. Operating Companies.
KEY ACCOUNTABILITIES
Manage, Coordinate, and Execute RTO Initiatives and Contract Management Processes
Identify and Advise Executive Leadership on upcoming regulatory and industry changes that are or may become impactful on RTO
Assist Sales, Marketing, Legal, IT, and Operations in efforts to continuously improve RTO and related Policies and SOPs
Develop and deliver internal trainings on RTO Policies and SOPs
MINIMUM EDUCATION AND WORK EXPERIENCE REQUIREMENTS:
- BA or BS, preferably with a degree in a business, engineering, or science related field, with at least 5 years of relevant experience in cyber security, government procurement, utilities procurement, and/or procurement within another government regulated industry.

RESPONSIBILITIES:
THE FOLLOWING STATEMENTS ARE INTENDED TO DESCRIBE THE GENERAL NATURE AND LEVEL OF WORK PERFORMED BY THE DIRECTOR OF RTO. THIS LIST IS NOT INTENDED TO BE EXHAUSTIVE.
- Reporting to and taking direction from Sonepar USA’s VP of Legal & Associate General Counsel, collaborating with Sonepar Legal department and other Sonepar business leaders, as well as VP of Information Technology and Director of Cyber Security, to enable the development, growth, and continued success of the RTO.
- Coordinating and managing the RTO and ensuring the proper and efficient receipt, review, processing, completion, and storage of applicable regulated transactions and related regulatory and license-related filings, certifications, updates, applications and the like for Sonepar USA, our U.S. Operating Companies, and our customers and vendors, in each case, pursuant to applicable laws, codes, policies, and procedures.
- Serving as the primary RTO representative and point of contact with Federal and state agencies and related customers and vendors, including those having export control jurisdiction.
- Coordinating efforts across RTO staff engaged in large and complex bid and contract processes, for both buy- and sell-side transactions, to meet or exceed established standards and ensure compliance with applicable laws, rules, codes, regulations, policies, and procedures.
- Exercising good and considerable discretion and independently carrying out responsibilities.
- Serving as a “Subject Matter Expert” for the RTO in terms of regulated procurement and sales compliance, with deep knowledge of the Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulations (DFAR), among others, and working knowledge of Cybersecurity Maturity Model Certification requirements.
- Acting as the key contact for government and customer audits, participating and, where appropriate, overseeing, the development and execution of Sonepar USA’s Controlled Unclassified Information (CUI) program.
REGULATED TRANSACTIONS PROGRAM MANAGEMENT
- Leading, developing, and maintaining an effective and broad-based regulated transactions program across Sonepar USA and its U.S. operating companies.
- Coordinating contract review procedures within the RTO and providing onboarding documentation and processes to onboard identified projects and purchases orders into the RTO.
- Monitoring, and keeping all key stakeholders fully informed of, changes in regulations, supplements, industry landscape, and related trends across applicable Federal, State, and Utilities sectors potentially impacting the RTO and/or our regulated transactions business.
- Identifying potential areas of process vulnerability and working with other team leaders to develop a plan of action to avoid, mitigate, and/or resolve identified or potential issues within the RTO’s purview.
- Providing regular reporting on all regulated transaction efforts when needed or requested, serving on internal committees as needed, and taking on additional projects, as directed, in areas falling under or related to the RTO.
- Coordinating directly with various audiences, including Federal, state, and private sponsors and internally with other Sonepar and U.S. Operating Company associates to administer regulated transactions and advisement, including Sales, Legal, IT, Finance, Cybersecurity, and other business units.
- Fostering compliance by business stakeholders, sales, principals and employees with all applicable laws, rules, policies, and regulations associated with the RTO.
- Working with appropriate Sonepar USA team leaders to review, identify and implement relevant processes, tools, and documentation to ensure compliance and efficiencies.
- Assessing regulatory change’s impact on the business and collaborating with pertinent functional groups on any necessary modifications to Sonepar policy and/or procedures.
- Assisting sales, marketing, tendering, negotiation, contract performance, and other internal functions and support product and service market strategies.
- Centralizing federal and utilities focused business processes, registrations, controls, and requirements.
- Providing assistance and compliance support and oversight during due diligence for mergers, acquisitions, divestitures, and reorganizations, helping to identify regulated contracts and data held by or on behalf of the entities at issue and to understand the processes and policies utilized or necessary to remain in compliance with the legal, contractual, and regulatory requirements at issue.
- Developing and delivering periodic internal trainings to address Sonepar’s policies and procedures, and employee responsibilities for new and existing employees related to the RTO.
- Helping to identify and implement process/tool improvements and requirements connecting the RTO to our U.S. Operating Companies in ways that maximize process alignment, ensure legal, contractual, and regulatory compliance, enhance efficiencies, and properly manage risk.
- Assuming and managing other tasks and duties as assigned by Sonepar USA VP Legal & Associate General Counsel.
