    Sonepar USA is looking for a Contract Specialist to work remotely or out of their U.S. headquarters in Charleston, SC (preferred). This individual will work closely with and report directly to Senior Counsel, who manages and assists on projects related to Commercial Transactions, Corporate Governance, Commercial Real Estate, M&A, Pre-Litigation Dispute Resolution, and Regulated Transactions.  This individual will be a member of, and work closely with, the entire Sonepar USA Legal Team. 

    MAJOR TASKS, RESPONSIBILITIES, AND KEY ACCOUNTABILITIES:

    The U.S. legal team is a lean and tight-knit group of accomplished and dynamic professionals who work closely and frequently with one another, internal and external counsel and professional advisors, and business stakeholders from other countries, regions and functions.  We value integrity, diverse opinions and interests, a good sense of humor, creativity, common sense, a strong work ethic, and intellectual curiosity.  This position’s primary focus will be to support the US legal team in connection with the following involving Sonepar USA and/or its U.S. operating companies:

    1. COMMERCIAL TRANSACTIONS: assisting in reviewing, drafting, and negotiating customer, vendor, and commercial real estate contractual arrangements and communications; helping with identifying, assessing and elevating contractual, business, and market risks and opportunities for further reviews/decisions as needed.
    2. M&A: Assisting in LOI, NDA and contract due diligence. 
    3. PRE-LITIGATION DISPUTE RESOLUTION: working with the Legal team in advising stakeholders on business resolutions with customers, vendors and landlords; working on initial drafts of demand letters, settlement agreements, and related documents.
    4. CONTRACT AND CORPORATE GOVERNANCE FILINGS AND ORGANIZATION: Assisting with the organization and filing of contracts and corporate governance documents and records, working with current tools, and developing new tools and processes, to create organizational efficiencies.
    5. OTHER: Assisting with contract review and drafting as needed in other areas, including, but not limited to, employment, litigation, compliance, and controls.

     

    MINIMUM REQUIREMENTS:

    • College degree.
    • 5-7+ years’ experience in contract review work.
    • Relevant training and/or certifications as a Contracts Specialist (or similar type role).
    • Solutions-oriented, strategic thinker, with a proven ability to work independently and drive, manage, and conclude varied mission-critical projects.
    • Strong and confident communicator with excellent interpersonal skills and high emotional intelligence.
    • Willing and able to travel when needed.
    • Exceptional drafting, organization, project management, and oral and written communication skills, with a demonstrated willingness and ability to negotiate and complete commercial transactions.
    • Team player willing to do whatever is necessary to complete the project at issue, even if outside areas of core or historical competencies.
