    Styskal, Wiese & Melchione, LLP (“SW&M”) is a progressive, transactional based, boutique law firm with 15 attorneys.  Dedicated to representing hundreds of credit unions and other financial institutions nationwide, SW&M offers its clients unsurpassed expertise, service, and exceptional counsel on the broad range of issues affecting the banking and financial industry.  The firm’s practice areas encompass a full range of legal representation, including issues related to corporate governance, regulatory compliance, employment, insurance, mergers and acquisitions, executive compensation, real estate, technology contracts, intellectual property, member accounts, and chartering and field of membership.

     

    SW&M is seeking a transactional attorney to join our technology transactions team. The ideal candidate is a highly detail-oriented, fast-learner, and creative problem solver with 5+ years of experience advising, counseling, structuring and negotiating technology, licensing, and intellectual property-related transactions.

    ESSENTIAL DUTIES & RESPONSIBILITIES:

     

    ·         Draft, review, redline, and negotiate various technology and financial services related agreements, related to IT, software, fintech, licensing, hosting, outsourcing, SaaS, PaaS, consulting, professional services, confidentiality, and data use and privacy.

    ·         Identify, assess, and advise on various data privacy matters and regulatory questions and inquiries related to technology and financial services related transactions.

    • Provide advice and counsel regarding the adequacy of contractual protections, processes, and policies to effect compliance with the evolving legal and regulatory environment in respect of the vendor arrangements.
    • Directly and effectively communicate with clients’ Senior Leadership and In-House Counsel to guide various complex transactions to completion while assessing and analyzing potential risk.
    • Assist with the development of policies and processes and standard template language.

     

    EXPERIENCE REQUIREMENTS:

    ·         5+ years of experience as an attorney at a reputable law firm or in-house legal department.

    • Strong working knowledge of technology, licensing, outsourcing, intellectual property laws and regulations as well as privacy and information security laws in the financial services realm including GLBA, CCPA, and GDPR. 
    • Significant experience in reviewing, drafting, and negotiating technology and fintech contracts.

    EDUCATION & SKILLS REQUIREMENTS:

    • J.D. from a top-tier U.S. law school.

    ·         Licensed in California.

    • An eye for detail and strong and effective oral and written communications skills.
    • High level of initiative, integrity, and organization.

    ·         Demonstrated self-starter with an ability to work on multiple projects simultaneously, prioritize deadlines, and clearly and professionally communicate in a fast-paced, deadline-driven environment.

    ·         Team player with sound business and legal judgment, solid work ethic, and strong analytical skills.

    ·         An understanding of the vendor management process is preferred.

    ·         Knowledge of Lexis Advance, Practical Law, PACER, and other research tools.
