    Job Description

    SUMMARY

    SW&M is seeking a dynamic and team oriented Legal Assistant to provide dedicated support to a team of 2-3 attorneys in our Mergers & Acquisitions Department. This position involves management of fast passed, document intensive merger and acquisition projects. This position includes assisting with document drafting and managing client relationships through email or phone communication. This role is for a self-motivated individual who can perform duties effectively and efficiently with due diligence and a proactive approach. This position reports to Partners and Office Administrator.

    RESPONSIBILITIES INCLUDE, BUT ARE NOT LIMITED TO:

    • Provide comprehensive legal practice support to assigned attorneys
    • Obtain transaction specific information from client team and gather information as required
    • Research, collect, distributed transaction related documents and material
    • Manage due diligence and conduct due diligence reviews as appropriate
    • Maintain key document checklists and transaction of related documents
    • Manage signature collection process and coordinate distribution of executed documents
    • Assist in preparation and filing of transaction documents (electronic and hard copy)
    • Actively maintain/manage attorney’s business calendar and contact list
    • Assist in scheduling of events, telephonic conferences, meetings, and other professional appointments
    • Coordinate and schedule speaking engagements and travel arrangements
    • Effectively communicate calendar and case updates to handling attorney
    • Proactively track impending deadlines
    • Prepare documents, forms, presentations and the like using advanced knowledge and skills with word processing related and other software programs
    • Draft, edit, proofread, format, finalize, and remit routine correspondence and other document types
    • Inputting Attorney revisions to documents, letters, contracts, PowerPoint presentations
    • Interact with Firm clients, prospective clients and other business contacts via email and phone
    • Maintain professional demeanor when interacting with clients and business contacts
    • Assist with ongoing legal research, including M&A trends and practices
    • Assist with the maintenance and management of physical and electronic files
    • Photocopy, scan and fax documents
    • Prepare mail and courier packages for pickup/drop-off
    • Provide back-up support to other legal assistance
    • Answers phones for attorneys and timely relay messages
    • Coordinate and assist with other special projects as assigned by Partners and/or Office Administrator

    GENERAL ATTRIBUTES

    • Proficiency with Microsoft Office Suite (including Word and Outlook), multi-line phone system and operating computer hardware
    • Working knowledge of legal research database and document management systems
    • Working knowledge of redlining documents
    • Ability to multitask on numerous assignments and deadlines simultaneously with minimal supervision
    • Ability to prioritize assignments and meet firm deadlines, pay close attention to detail, and maintain accuracy
    • Ability to compose, edit, and proofread legal documents, correspondence, and reports
    • Possess a high degree of self-accountability and ownership relating to assignments and initiatives
    • Critical thinker with strong problem-solving and research proficiencies
    • Professional demeanor with strong verbal and written communication skills
    • Must be a team player with a strong work ethic and positive attitude

    QUALIFICATIONS (Education / Experience)

    • Associates degree (required); Bachelor’s Degree preferred
    • Minimum of 2+ years partner level legal support experience, preferably in law firm or other professional service office setting working on merger & acquisition of all types
    • Paralegal certification is a plus
