We’re seeking a sharp Paralegal for our busy law firm who can help our attorneys and paralegals assist our clients and keep the office running smoothly. You’ll work with the team to prepare a variety of legal documents and handle office correspondence like answering emails and phone calls, scheduling meetings, and reminding the team of upcoming deadlines. The ideal candidate will assist attorneys primarily in the practice areas of Real Estate, Business/Corporate, Estate Planning and other duties and responsibilities as may be assigned from time to time. Compensation- $16 - $25 hourly plus bonuses and incentives Responsibilities: • Accept other administrative tasks as needed to assist the team and ensure the firm runs smoothly • Conduct legal research, when necessary, with guidance from attorneys and paralegals • Schedule meetings and appointments for the team, such as meetings with clients and real estate closings, and coordinate with the various players of a transaction • Prepare legal documents in all aspects of corporate transactional law including entity formation and reorganization, merger, acquisition, stock sale, asset sale, and shareholder buy-out under the supervision of an attorney • Prepare and file formation documents of all types of corporate entities including charter documents, organizational consents, bylaws, company agreements, and partnership agreements, obtaining EINs and qualifications in applicable state jurisdictions • Maintaining and updating client corporate minute books (stock certificates, stock ledgers, annual consents, curative consents, etc.) • Monitor and review transactional documents for the purpose of preparing and updating the closing checklist to track the status of transactional documents and the progression of the transaction • Prepare due diligence request lists; guide and work with clients for the collection of due diligence information and materials; analyze due diligence materials to assist attorneys with determining compliance with representations and warranties contained in the transaction documents and the transferability of instruments, federal and state permits, and licenses; and collaborating with clients and aiding attorneys in consulting with opposing counsel to resolve issues that may negatively impact the timing of the closing • Working on post-closing matters, preparing and organizing closing documents and binders for distribution to appropriate parties • Compile, proofread and edit drafts of contracts, leases, policies and other legal documents under the supervision of an attorney Qualifications: • Able to meet demanding deadlines in a fast-paced environment • Proficient with MS Office products • Some knowledge of legal software, case management, and docketing programs • Applicants must have excellent communication skills and organizational skills • At least 2 years of experience in a law firm environment (preferably working in the above-listed practice areas) • You feel comfortable handling contracts/agreements, interacting with other people, and working directly on files on your own (with the oversight of a supervising attorney) • You have an excellent “bedside manner”, a good office demeanor, and the ability to plan out your days/work to avoid emergencies • You have empathy, patience and genuine care for our clients and the other persons you work with.
