    The Opportunity

    Adobe’s Legal and Government Relations (LGR) team partners with business and functional teams to manage the company's legal and government affairs. Sub-teams within the organization include Policy, Compliance, Anti-piracy, Corporate Securities and M&A, Litigation, Intellectual Property, Privacy, Trademarks & Marketing, Employment, Real Estate, Security, Operations and Product and Sales support. Adobe’s LGR embraces groundbreaking approaches and best practices to align with Adobe’s business needs.

    Against this backdrop, Adobe is seeking a VP, Corporate Legal to oversee, lead and provide vision for all aspects of the company’s corporate legal needs in support of advising Adobe’s executive team and Board of Directors. As the head of Adobe's Corporate Legal Group, this leader will provide legal support for mergers and acquisitions, public company securities disclosure and reporting. Additionally, this person will lead all aspects of corporate governance, insider trading compliance, executive compensation, and general corporate counseling. This leader has global responsibility; BOD management; and direct relationship with CFO. This person will lead a team dedicated to supporting Adobe’s rapidly changing business needs. They will also be responsible for ensuring compliance with evolving laws and industry standards and creating and building solutions to help Adobe meet its business goals.

    Reporting to Adobe’s Chief Legal Officer, the VP, Corporate Legal will be a lawyer with a strategic and operational expertise in securities law, mergers and acquisitions and prior experience working as an assistant or Corporate Secretary in a Fortune 250 Public Company. The successful candidate will have strong demonstrated intellectual curiosity to develop a deep understanding of our business and products. This leader will have strong executive presence, be an inspirational team leader and member of the legal and government relations leadership team. They should have the ability to communicate effectively at all levels of the organization, including the Executive team, Board of Directors, and Shareholders. This person should also have proven success in working cross functionally; and should be a strong communicator with a sharp focus on managing risk with a healthy risk appetite balance

    What You’ll Do

    • Corporate securities for all of the public company securities reporting
    • Corporate governance (assistant secretary to the BOD) - agendas, materials, presence and minutes and resolutions
    • Investor relations (part of extended group that outreaches to our largest investors)
    • Support ESG activities including biannual conversation with stewardship teams of our largest shareholders
    • Support deals related to global M&A and investments (execution and supporting integration)
    • Partner with the treasury department to advise on debt offerings and other cash management activities
    • Advise on Adobe’s Executive compensation plan/design (partner with VP Total Rewards and equity finance leader)
    • Be responsible for all of our global subsidiaries and tax structures in 40 different countries and provide support for treasury and corporate finance (capital structure and capital markets
    • Manage an organization of 7+ employees.

    What Makes You Successful

    • A JD from a leading law school/university, and at least 15 years of relevant experience at a top law firm or in-house legal department, specifically in federal securities law and corporate governance; preferably with additional experience in contracts, and business legal. Some of the time must have been spent in a Fortune 250 company.
    • Superior relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators. A proven track record of building and maintaining relationships with other functional leaders and the business.
    • Strategic problem-solving skills with excellent legal and business judgement. Impeccable integrity and ethical behavior with a strong moral compass and a commitment to transparency.
    • A creative, innovative and commercial mindset with a positive attitude. Substantial experience working collaboratively and effectively with cross-functional teams.
    • The ability to create clarity in high-stakes situations with ambiguity (e.g. M&A).
    • The strong ability to prioritize and focus on critical initiatives for LGR and the company; strive for operational excellence and hold teams accountable.

    Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The U.S. pay range for this positionis $221,900 -- $507,450 annually. Paywithin this range varies by work locationand may also depend on job-related knowledge, skills,and experience. Your recruiter can share more about the specific salary range for the job location during the hiring process.

    In California, the pay range for this position is $326,400 - $507,450

    At Adobe, for sales roles starting salaries are expressed as total target compensation (TTC = base + commission), and short-term incentives are in the form of sales commission plans. Non-sales roles starting salaries are expressed as base salary and short-term incentives are in the form of the Annual Incentive Plan (AIP).

    In addition, certain roles may be eligible for long-term incentives in the form of a new hire equity award.
