Commercial Transactional / M&A Attorney West Coast Franchise Law helps franchisees get deals done! We are growing and need an attorney to work with clients who are typically looking for multi-unit franchise opportunities. We need you to help us help clients with purchasing or selling franchised businesses, or buying, leasing and developing commercial real estate. We want to bring you in to provide legal advice on leasing, real estate development, title work, reviewing franchise documents, negotiating complex multi-year deals with franchisors, and counseling on and writing up partnership agreements. If there are skills you want to pick up, we'll help you fill in those blanks. This full-time remote position offers you the opportunity to live anywhere. We need you to have the confidence and background to take the lead with clients and transactions. Responsibilities: • Reviewing and negotiating all documents with respect to business and commercial real estate sales, acquisitions, and leases and amendments • Representing clients in purchases and leasing of commercial properties and business opportunities • Reviewing, drafting, interpreting, and negotiating leases and contracts • Drafting, reviewing, and negotiating letters of intent, memoranda of understanding, and agreements for the purchase of franchised businesses and leases • Reviewing Franchise Disclosure Documents and providing advice to prospective franchisees regarding Franchise Disclosure Documents those documents • Reviewing and negotiating Franchise Agreements, Multi-unit Franchise Agreements, Area Development Agreements, and Master Franchise Agreements • Advising on and drafting partnership agreements, buy-sell agreements, operating agreements, and bylaws. • Interpreting leases and contracts • Drafting, reviewing, and negotiating letters of intent and agreements for the purchase of franchised businesses and leases including triple net and build to suit leases • Review and provide advice to prospective franchisees regarding Franchise Disclosure Documents • Review and negotiate Franchise Agreements, Multi-unit Franchise Agreements, Area Development Agreements, and Master Franchise Agreements • Advice on and draft partnership agreements, buy-sell agreements, operating agreements, and bylaws • Helping other attorneys and paralegals learn and grow while assisting you Qualifications: • Juris Doctor from accredited Law School • 5 years of related experience • Demonstrated proficiency in use of technology to work effectively in a remote environment Compensation: $140,000 - $200,000 yearly
