SUMMARY DESCRIPTION:

RhythmOne is looking for a Senior Counsel to join its legal team and support its robust commercial transactions practice, product marketing and finance teams.  The position reports to the Chief Legal officer and General Counsel and has high visibility in the company.  This position handles the majority of our commercial transactions (in the US and internationally) and is responsible for negotiating and drafting agreements across all areas of the business.  In addition, this position will be responsible for the legal aspects of RhythmOne’s privacy compliance program.  This position is ideal for an experienced attorney who can independently manage the evolving commercial and product marketing needs of a fast-paced technology company with a growing product and services portfolio. You will handle a wide variety of complex legal work in support of our product, sales, business development and other teams within the company as needed.  This position is based in our Bellevue office. The ideal candidate will have 5-10 years of experience with a top tier law firm and strong in-house experience.  Experience in technology transactions is strongly preferred.

RESPONSIBILITIES:

• Draft and negotiate a wide variety of commercial transaction agreements (both in the US and internationally), including master services, licensing, professional services and publisher agreements.
• Interfacing on a routine basis with senior business and engineering personnel.
• Manage outside counsel.
• Data privacy compliance
• Provide advice and support to business partners for new business initiatives and technology development.
• Develop and implement processes to provide efficient and sophisticated service by the legal group.
• Maintain and revise template agreements as required
• Identify contractual risks and suggest alternatives that lead to optimal solutions. Work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences.

REQUIRED QUALIFICATIONS:

• Requires 5-10 years of experience drafting and negotiating at a top law firm and/or in-house in a corporate legal group.
• JD from a top law school. 
• Requires extensive commercial transactions background, experience in technology transactions, specifically ad tech, preferred.
• Must have excellent analytical, negotiation, communication and contract drafting skills and work well with several different stakeholders.

HELPFUL QUALIFICATIONS:

• Experience working with online advertising companies (ad tech, media buying, or supply side) or other online services company is a plus but not required.
• Familiarity with insertion orders and IAB terms and conditions for digital advertising is helpful but not required.
