    Job Description

    As a member of the Contracts Management Organization (within the Global Technology & Commercial Legal Services Team), this attorney will provide high-quality legal counsel and support to Western Digital’s Strategic Sourcing Organization, including negotiation of commercial agreements and collaboration with internal stakeholders and outside counsel.  This full-time position is based at Western Digital’s offices in Milpitas or San Jose, California.

    RESPONSIBILITIES INCLUDE:

    • Structuring, drafting, reviewing, negotiating, and finalizing commercial contracts, including, but not limited to, inbound design IP licensing agreements, inbound software license and maintenance agreements, professional services agreements, purchase agreements, collaboration agreements, non-disclosure agreements, engagement letters, statements of works, amendments, and other business/legal documents.
    • Identifying and advising internal clients on risks associated with each transaction and proposing practical/strategic risk mitigation strategies in connection with commercial transactions.
    • Working closely with attorneys and contracts managers within the Contract Management Organization.
    • Supporting various aspects of the contracts management process and policies, including the use and management of Western Digital’s internal contracts management tool/application. 
    • Working on special projects, as needed.

     

  • Qualifications

    Qualifications

    REQUIRED:

    • 3-5 years of relevant transactional experience in a law firm and/or in-house legal department drafting, reviewing, and negotiating agreements.
    • Juris Doctorate (JD) from accredited law school.
    • Current member of California State Bar in good standing or Registered In-house Counsel in California.

    PREFERRED:

    • Technology background and/or engineering/technical degree strongly preferred.
    • IP/patent background preferred.

    SKILLS:

    • Experience working in (or with) technology companies or in the technology industry.
    • Proficiency diving deep and accurately into details and strong analytical skills.
    • Ability to clarify objectives, pragmatically achieve goals while mitigating risks, and communicate effectively with internal business clients.
    • Ability to manage and prioritize multiple projects.
    • Track record of providing high-quality, timely results on a wide variety of contract matters.
    • Self-starter who takes ownership of work and demonstrates the ability to work independently and collaboratively with others.

    COMPENSATION & BENEFITS DETAILS

    • An employee’s pay position within the salary range may be based on several factors including but not limited to (1) relevant education; qualifications; certifications; and experience; (2) skills, ability, knowledge of the job; (3) performance, contribution and results; (4) geographic location; (5) shift; (6) internal and external equity; and (7) business and organizational needs.
    • The salary range is what we believe to be the range of possible compensation for this role at the time of this posting.  We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in Colorado or remote jobs that can be performed in Colorado.  This range may be modified in the future.
    • You will also be eligible to participate in Western Digital's Short-Term Incentive (STI) Plan and to receive equity awards under our annual Long-Term Incentive (LTI) program, which consists of restricted stock units (RSUs), pursuant to the terms of these programs.  RSU awards are also available to eligible new hires, subject to Western Digital’s Standard Terms and Conditions for Restricted Stock Unit Awards.
