    Job Description

    The M&A Integration Legal & Compliance Project Manager will play a key role by partnering with the M&A Integration Programme Director/ Manager and associated team to establish, plan and deliver any Legal & Compliance integrations following Mergers & Acquisitions.

    The main purpose of this role is to lead and manage the portfolio of acquisition integrations for Legal & Compliance, plan and deliver the Legal & Compliance workstreams for dentsu mergers and acquisitions.

    The project manager will also be expected to participate in the revision and development of the dentsu M&A integration repeatable model and methodology for the function.

    In this role you will collaborate with various business stakeholders and cross-functional team members to drive the planning and implementation of the integrations.

    A successful candidate will demonstrate a solid understanding of legal & compliance matters, organizational skills, business acumen, partnering across the organization, and by managing M&A transformations for the function.

    KEY ACCOUNTABILITIES

    The role will work on specific acquisition integration programme(s), operating as a key member of the global M&A integration team, focusing on the legal & compliance (L&C) workstreams.

    TEAM MANAGEMENT

    • Work with the Legal & Compliance leaders in region to prioritise M&A integration work with ongoing Legal & Compliance activities in relevant markets and regions
    • Work collaboratively with any Legal & Compliance team in the acquired company(ies)
    • Review and ensure acquisition integration roadmaps/ plans are in place before submission for Final Approval at M&A Committee
    • Ensure appropriate budgets are set for the function before submission of the acquisition for Final Approval at M&A Committee

    ON SPECIFIC ACQUISITIONS

    • Working with the Acquisition Sponsor, Regional Legal & Compliance Leads, and the integration team to gain alignment between the various dentsu and seller stakeholders on the integration vision and scope, for the function specific deliverables and for cross-functional matters
    • Development of the strategy, high level and detailed L&C integration plan and budget to ensure it meets the strategic and financial goals and supports the strategy and vision of the acquisition
    • Work with the acquired entity L&C management team so they input into the integration plan, and support them in navigating the dentsu operating model
    • Facilitating rapid decision making by anticipating problems and escalating issues when required, to the integration lead and to functional stakeholders accordingly. Making recommendations for course corrections as appropriate
    • Independently delivering the day-to-day management of the integration for the function, ensuring that key milestones are achieved on time
    • Regular progress reporting and setting appropriate performance metrics including revenue and cost synergies for the function. Ensures the acquisition fits into any separate governance process for the function.
    • Supervising the integration efforts of the L&C work stream and associated team ensuring that they are delivering against the key project milestones and are considering the interdependencies of their work with other work streams
    • Where there is a multi-market element to the deal, establish appropriate stakeholder forums so that an international L&C integration plan can be created
    • Participate in due diligence and be a key influencing member of the core deal team
  • Qualifications

    Qualifications

    • Project Management experience (PMP certification would be a plus)
    • Understanding of legal and compliance matters
    • Ability to influence senior stakeholders 
    • Proven ability to lead projects in a matrix environment with multiple stakeholders
    • Ability to negotiate and mediate across stakeholders in an open, collaborative style
    • Problem solving
    • Experience of working in a fast moving and high-pressured environment

    The anticipated salary range for this position is $78,000-$121,500. Salary is based on a range of factors that include relevant experience, knowledge, skills, other job-related qualifications, and geography.
