• •Prepare legal entities compliance filings, draft IRS compliance documents, conduct legal research, and prepare summaries, manage and track deals and facilitate execution of legal documents
•Draft pre-closing and closing documentation, including resolutions, research and statistical compilation, closing certificates and opinions
• Prepare closing files, final resolutions and opinions, good standing certificates, and secretary of state filings, conduct page-checking of final documents
• Manage and distribute draft and final executed documents to interested parties, follow up with clients and other parties to ensure delivery of complete documentation required for closing binders, and perform other related duties as assigned
